Dealing with difficult Executive Directors/CEO's/GM's

Here’s an article written by Susan Fish in a Canadian publication, Charity Village. My takeout from the article:
This article hits all the buttons that I’ve come across time and time again:
  • Our ED gets so defensive when I ask her for something;
  • Our ED won’t let us exercise proper fiscal oversight;
  • Our ED chooses not to share information we as a board need to make decisions, we are left feeling vulnerable;
  • Our ED seems to have something to hide;
  • Our ED thinks he knows better than the board or who are prone to controlling tendencies
  • We’re not very good at providing our ED with formal feedback, consequently problems arise when the board believes she should be doing something else.
Those comments and several others lead the author to a list of remedies that are well worth keeping in your board folder.

Quid pro quo: the key to attracting the 'right' board member

My takeout:
What interested me about this really short article was that it provided a very different slant on ‘getting’ board members.  We typically talk about looking for board members who can bring a strategic perspective to the board, future focused, specific skill set etc.  This article looks at what a prospective board member is looking for.  As it says: most of the time, the "right" board member is going to assess your offer as carefully as they would a business deal. At least, they should.

My takeout:
This article from the London Business School is prefaced with some comments about the importance of the board. I think we all understand how important a board is, but often we overlook how it is composed and whether it submits itself to an independent external review to see if it really is fit for purpose.  Some boards are constrained in their candidacy for board membership by an out-of-date Constitution that only allows them to pick from a defined pool, others rely on shoulder tapping, others take whatever the AGM throws up.
In today’s environment, when disruption is a constant, we can’t afford to not have the very best board members. We need members who have the skills to develop the future direction of the business with knowledge of the opportunities and threats and who are not so defensive as to shy away from being externally assessed periodically.
